2) Terms of Service

1. Agreement
By accessing fpmark.in or engaging our services, you agree to these Terms and any referenced policies.

2. Services
We provide production, channel management, design, ads, course/application ops, and related consulting. Scope, deliverables, timelines, and fees are defined in proposals or SOWs.

3. Client responsibilities
– Provide accurate information, timely approvals, and required access (e.g., YouTube, ad accounts, LMS).
– Ensure rights/permissions for all materials supplied to us.
– Comply with platform policies and applicable laws.

4. Fees and payment
– Fees as quoted; applicable taxes extra.
– Invoices are due within [7/15] days unless otherwise agreed.
– Late payments may incur delays, interest, or suspension of work.
– Project start or releases may require an advance or milestone payments.

5. Intellectual property
– Client Materials remain the client’s property.
– Work Product: Upon full payment, final deliverables are licensed or assigned as stated in your SOW. Project files (editable/source) are included only if specified; otherwise we deliver final exports.
– We may reference non‑confidential work in our portfolio unless you opt out in writing.

6. Acceptable use
Do not use our site/services for unlawful, infringing, or harmful activities. We may suspend service for violations.

7. Confidentiality
Both parties shall keep Confidential Information secure and use it only for the project, except where disclosure is required by law.

8. Ads and platforms
Performance is influenced by platform algorithms and audience behavior. Results are not guaranteed. Client is responsible for ad spend unless otherwise stated.

9. Warranties and disclaimers
Services are provided “as is.” We disclaim all implied warranties to the fullest extent permitted by law.

10. Limitation of liability
To the maximum extent permitted, our aggregate liability for any claim is limited to the fees paid to us for the specific service during the 3 months preceding the claim. No liability for indirect, incidental, or consequential damages.

11. Indemnity
Client agrees to indemnify and hold us harmless from claims arising from Client Materials, illegal use, or breach of these Terms.

12. Term and termination
Either party may terminate for material breach with 10 days’ notice if uncured. Upon termination, fees for work performed become due; we will deliver completed and in‑progress work as defined in the SOW.

13. Force majeure
Neither party is liable for delays/failures due to events beyond control (e.g., outages, strikes, disasters).

14. Governing law and disputes
These Terms are governed by the laws of India. Courts at [City/State] shall have exclusive jurisdiction, subject to mandatory consumer laws.

15. Changes
We may update these Terms. Continued use after changes constitutes acceptance.

4) Refund & Cancellation Policy

Project engagements
– Discovery/strategy fees are non‑refundable once delivered.
– For production/retainers, refunds are not offered for work already performed or booked resources.
– If a project is cancelled by the client:
– Before production start: refund of unspent fees minus 10% processing and any third‑party costs.
– After production start: pro‑rata billing for hours/deliverables completed + third‑party/non‑recoverable costs; any balance refunded.
– If we must cancel due to unforeseen reasons, we will provide a pro‑rata refund of unrendered services and transfer all completed work.

Digital products
– Downloadable templates or digital goods: non‑refundable after access is granted unless defective files are provided and not fixed within 7 days.

Rescheduling
– Live streams/recordings: reschedule with at least 48 hours’ notice; otherwise slot fees may apply.

Payment disputes
– Contact fusionprodmark@gmail.com within 7 days of invoice for disputes. We will investigate and resolve promptly.
